Terms of Service

1. Acceptance of Terms

By accessing or using HOA Base ("the Service"), operated by Tisacrest LLC at hoabase.io, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including residents, community managers, board members, and administrators. You must be at least 18 years of age to use the Service.

2. Description of Service

HOA Base is a homeowners association (HOA) management platform that provides tools for community management, including but not limited to:

  • Dues tracking and community payment link sharing.
  • Community announcements, events, and messaging.
  • Maintenance request management.
  • Architectural review committee (ARC) request processing.
  • Document storage, sharing, and AI-assisted summarization.
  • Compliance tracking for state-specific HOA statutes.
  • Amenity booking and reservation management.
  • Violation tracking and resolution workflows.
  • Community directory, vehicle/pet/guest registration.
  • Financial reporting and analytics.

3. Account Registration and Access

3.1 Invitation-Only Access

Access to the Service is by invitation only. Resident accounts are created by community managers or administrators. Self-registration is not permitted.

3.2 Account Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your login credentials.
  • All activity that occurs under your account.
  • Providing accurate and current information.
  • Notifying us immediately of any unauthorized use of your account.

3.3 Authentication Methods

We offer multiple authentication methods including magic link email login, Google Sign-In, and Apple Sign-In. By using social sign-in, you also agree to the respective provider's terms of service.

4. Subscription Plans and Billing

4.1 Plans

HOA Base offers tiered subscription plans (Starter, Professional, Community, and Enterprise) with varying capacity limits and features. Plan details and pricing are available on our website.

4.2 Free Trial

New community managers may receive a complimentary trial period of 7 or 14 days upon sign-up. After the trial period ends, a paid subscription is required to continue using the Service. Trial availability and duration are at our discretion and may change without notice.

4.3 Payment Processing

All subscription payments are processed through Stripe. By subscribing, you agree to Stripe's terms of service. Community managers are responsible for their subscription fees. HOA Base does not process resident HOA dues payments — community managers configure and share their own payment options with residents through the platform.

4.4 Cancellation

Community managers may cancel their subscription at any time through the Stripe billing portal. Upon cancellation, the community retains access through the end of the current billing period, followed by a 30-day grace period. After the grace period, the community and its data may be deactivated.

4.5 Refunds

Subscription fees are non-refundable. If your subscription is not renewed, access continues through the end of the current billing period and the subsequent grace period, but no refund is issued for the remaining time. 5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Upload or transmit harmful, threatening, abusive, defamatory, or otherwise objectionable content.
  • Attempt to gain unauthorized access to other users' accounts or any part of the Service.
  • Interfere with or disrupt the Service or its infrastructure.
  • Use automated means (bots, scrapers, etc.) to access the Service without our written permission.
  • Share your account credentials with third parties.
  • Upload files containing malware, viruses, or other harmful code.
  • Use the community directory or resident information for unsolicited marketing or commercial purposes.
  • Misrepresent your identity or affiliation with a community.

6. User Content

6.1 Ownership

You retain ownership of all content you upload or submit through the Service, including documents, messages, images, and other materials ("User Content").

6.2 License Grant

By submitting User Content, you grant HOA Base a non-exclusive, worldwide, royalty-free license to use, store, process, and display your content solely for the purpose of providing and improving the Service. This includes processing documents through our AI summarization features when you choose to use them.

6.3 Responsibility

You are solely responsible for your User Content. We do not endorse or guarantee the accuracy of any User Content. We reserve the right to remove content that violates these Terms.

7. AI-Powered Features

The Service includes AI-powered features for document summarization and question-answering. These features are provided for informational convenience only. AI-generated outputs:

  • Are not a substitute for legal, financial, or professional advice.
  • May contain inaccuracies or omissions.
  • Should be independently verified before being relied upon for any decision.

HOA Base disclaims all liability for actions taken based on AI-generated content.

8. Community Manager Responsibilities

Community managers who subscribe to the Service agree to:

  • Obtain appropriate consent from residents before adding them to the platform.
  • Use the Service in compliance with applicable HOA governing documents and state laws.
  • Ensure that information entered about residents and properties is accurate.
  • Manage their community in accordance with applicable data protection laws.
  • Not exceed the capacity limits of their subscription plan.

9. Intellectual Property

The Service, including its design, code, features, logos, and documentation, is owned byHOA Base and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our written permission.

10. Account Termination

10.1 By You

Residents may request account deactivation through the move-out request feature. Community managers may cancel their subscription through the billing portal. Deactivated accounts enter a 30-day grace period before data deletion is initiated.

10.2 By Us

We reserve the right to suspend or terminate your access to the Service at any time for violation of these Terms, non-payment, or any other reason at our reasonable discretion. We will provide notice when practicable.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

HOA Base IS NOT A LAW FIRM AND DOES NOT PROVIDE LEGAL ADVICE. COMPLIANCE TRACKING FEATURES (INCLUDING STATE STATUTE REFERENCES) ARE FOR INFORMATIONAL PURPOSES ONLY AND SHOULD NOT BE RELIED UPON AS LEGAL COUNSEL.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOA BASE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless HOA Base and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Nevada, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

15. Changes to These Terms

We may modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page and updating the effective date. For subscription customers, we will also provide notice via email. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
